License Agreement
PLEASE READ CAREFULLY
This license statement and limited warranty constitutes a legal agreement ("License Agreement") between you (either as
an individual or a single entity) and OPTIMAL PROGRAMS SRL for the software product ("Software"), including any software, media, and accompanying on-line or printed documentation.
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.
LICENSE AGREEMENT
Cutting Optimization Pro (hereafter referred to as "Software"), all related materials and associated intellectual property rights are owned by Optimal Programs S.R.L. The Software is protected by copyright laws and international copyright treaties.
This license statement constitutes a legal agreement (hereafter "License Agreement") between you, the end user (either as an individual or a single entity), as Licensee, and Software Author, as Licensor. No use, copying, distribution, or modification of the Software may be made by you except as expressly provided within this License Agreement.
GRANT
OPTIMAL PROGRAMS hereby grants to you the Licensee, a non-exclusive right to use this copy of the Software on a single computer at a single location: as a Limited Trial version - free of charge for a period not to exceed 15 days from initial installation of the Software; and as a Full Featured version - for an unlimited period of time upon payment of the License Fee and registration.
You may also download and use any subsequent updates and new releases of the Software free of charge after registration. This and any future release will only be made available to you in electronic form for download / email. If you use an upgraded release of the Software, it constitutes a single product with the Software that you upgraded or replaced. You may use or transfer it only in accordance with this License Agreement.
You are allowed to copy a Limited Trial version (and only the Trial version) and give it to any other person for evaluation purposes, as long as it is not modified in any way. You may make one copy of a Full Featured version of the Software in machine readable form for back-up purposes. Such copies must include all of the original proprietary notices, and shall be subject to all terms and conditions of this License Agreement.
RESTRICTIONS
The Software is licensed, not sold, all rights not expressly granted in this License Agreement are retained by OPTIMAL PROGRAMS SRL. OPTIMAL PROGRAMS SRL retains title, ownership, and intellectual property rights of the Software.
You may NOT: copy (except as specifically authorized above), modify, adapt, disassemble, decompile, reverse engineer, assign, sublicense, sell, loan, rent, lease, disclose privately obtained information about, or prepare derivative works of, the Software.
Any given license for the Software may not be shared or used concurrently or otherwise on different computers in a given organization. This license may not be transferred unless the Transferee agrees to be bound by the terms and conditions of this License Agreement. You may not retain the right to use the Software or any copies of the Software.
WARRANTY
OPTIMAL PROGRAMS SRL:
(i) DOES NOT warrant that the software will work on any computer with any configuration. It will be the user responsability to test the software on a particular computer. If the software will not work on that computer OPTIMAL PROGRAMS SRL is not responsible to fix the errors (problems) of that computer.
(ii) DOES NOT warrant that the software will work on any existing or future Operating System. It will be the user responsability to test the software on a particular Operating System. If the software will not work on that Operating System OPTIMAL PROGRAMS SRL is not responsible to fix the errors (problems) of that Operating System.
(iii) In the case of computer changes (new computer or new components), the OPTIMAL PROGRAMS SRL is not responsible for incompatibility issues. If the software will not work on the new computer, the OPTIMAL PROGRAMS SRL will NOT return the license fee to the customer.
(iv) Not optimal layouts are not considered errors in the program due to the nature of the problem.
OPTIMAL PROGRAMS SRL warrants that:
(i) OPTIMAL PROGRAMS SRL will make all reasonable efforts to solve any problem issues with the Software. For solving the errors, the Client must send the data (REPOSITORY and DEMAND) generating the error by email to contact@optimalprograms.com.
(ii) registered users will be provided by all necessary support by email only.
(iii) registered users will receive for free any new version of the Program since the date of registration.
(iv) at each 1,5 years you will have the possibility to move the license on a new computer.
PAYMENT
You have to pay license fee to OPTIMAL PROGRAMS SRL. All new versions of the component are for free.
You agree that you have had the possibility to test a full-featured version of the Component for a period of time of 30 days.
After payment confirmation you will receive the registration instructions by email.
There is no money back option after the payment confirmation.
EXCEPT AS SET FORTH IN THIS ARTICLE, OPTIMAL PROGRAMS SRL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. AUTHOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES RELATED TO LOST DATA OR LOST PROFITS.
MISCELLANEOUS
If any provision of this License Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. The validity of other provisions shall not be affected.
This License Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior verbal understandings or agreements between them. It may be amended only by a writing executed by both parties.
